When governance breaks down, the consequences can be far-reaching.

Governance fails when the systems and structures designed to support responsible and effective organisational leadership do not function as intended. This can lead to mismanagement, weakened oversight, and a loss of strategic direction — often reflected in poor performance, ethical lapses, or unmet stakeholder expectations.

Broadly, governance is likely to fail when:

  1. The governance framework is absent or poorly designed.
  2. The framework exists but is applied inconsistently or deliberately ignored.

The potential outcomes

Governance failures may emerge from a single high-impact event or from a pattern of poor practices over time. While signs will differ by organisation, common examples include:

  • A serious incident reveals that key risks were neither documented nor reported.
  • Shareholders are blindsided by extreme financial anomalies.
  • Customer data is deliberately misused for profit, breaching legal boundaries.
  • Repeated reports of harassment are ignored by management, eroding staff trust and wellbeing.

Consequences of failure

The outcomes of governance failure can be serious and long-lasting, including:

  • Financial loss — declining performance, penalties, or long-term damage to value.
  • Reputational damage — loss of trust from customers, employees, and the public.
  • Legal consequences — investigations, sanctions, or regulatory fines.
  • People impact — job losses, stress, or harm to individuals and communities.

When the organisation is of public interest or the consequences are severe, these failures often reach mainstream headlines — magnifying the reputational fallout and drawing scrutiny from regulators, investors, and the wider public.
